1. Definitions and interpretation
In these Terms & Conditions, the following definitions apply:
- "IncomeStat Analytics", "we", "us" means IncomeStat Analytics, a statistical research and analytics firm registered and operating in Ireland, with its registered office at 14 South Mall, Cork, T12 CXW3, Ireland.
- "Client", "you" means any individual, business, organisation or public body that purchases, commissions or receives services from IncomeStat Analytics.
- "Services" means all statistical research, income analysis, data modelling, reporting, mapping and advisory services provided by IncomeStat Analytics, as described on our website or in a quotation.
- "Deliverables" means all reports, datasets, dashboards, maps, charts, summaries and other work products supplied to the Client under a Contract.
- "Contract" means the agreement formed between IncomeStat Analytics and the Client in accordance with Section 4.
- "Website" means https://incomestatanalytics.com and all of its subpages.
References to Sections are to sections of these Terms & Conditions. Headings are for convenience only and do not affect interpretation. The words "including" and "in particular" are illustrative and do not limit the generality of the preceding words.
2. Scope of these terms
2.1. These Terms & Conditions govern all Services and Deliverables supplied by IncomeStat Analytics and all use of the Website.
2.2. By placing an order, accepting a quotation, entering into a service agreement, or using the Website, the Client confirms that it has read, understood and agrees to be bound by these Terms & Conditions.
2.3. Where a separately signed service agreement or statement of work exists between the parties, the terms of that agreement shall prevail over these Terms & Conditions to the extent of any conflict.
2.4. Any terms proposed by the Client that conflict with these Terms & Conditions shall have no effect unless expressly accepted by IncomeStat Analytics in writing.
3. Description of services
3.1. IncomeStat Analytics specialises in population income research and statistical analytics, including income distribution analysis, geographic income mapping, custom data modelling and ongoing advisory support.
3.2. All Services are provided with reasonable skill and care, in accordance with generally accepted professional and statistical standards, and by suitably qualified personnel.
3.3. The scope, format, reference geography, reference year and delivery timeline of each engagement shall be specified in the applicable quotation or statement of work. Any change to the agreed scope may be subject to a revised quotation and adjusted timelines.
4. Quotations, orders and contracts
4.1. Quotations issued by IncomeStat Analytics are valid for 30 days from the date of issue unless otherwise stated.
4.2. A quotation constitutes an invitation to treat. A Contract is formed only when IncomeStat Analytics issues a written order confirmation, or when IncomeStat Analytics begins performance of the ordered Services, whichever occurs first.
4.3. The Client is responsible for ensuring that the details of its order, including target geographies, demographic segments, reference years and delivery formats, are complete and accurate.
5. Pricing, invoicing and payment
5.1. All prices are quoted in euro (EUR) and, unless expressly stated otherwise, are exclusive of Value Added Tax (VAT) and any other applicable taxes or duties, which shall be added at the prevailing rate.
5.2. Unless otherwise agreed in writing, IncomeStat Analytics invoices as follows: 50% of the fee on confirmation of the order and 50% on delivery of the Deliverables. Retainer and advisory engagements are invoiced monthly in advance.
5.3. Invoices are payable within 14 days of the invoice date by bank transfer to the account stated on the invoice.
5.4. If the Client fails to make payment by the due date, IncomeStat Analytics may charge interest on the overdue amount in accordance with the European Communities (Late Payment in Commercial Transactions) Regulations 2012, and may suspend performance of the Services until all outstanding amounts are paid.
5.5. The Client may not withhold or set off payment on account of any dispute unless the dispute has been notified to IncomeStat Analytics in writing and is being addressed in good faith.
6. Delivery and acceptance of reports
6.1. Standard reports are typically delivered within 5 to 10 business days and custom modelling projects within 2 to 4 weeks from confirmation of the order, unless otherwise stated in the quotation. Delivery timelines are estimates and are not of the essence of the Contract.
6.2. Deliverables are provided electronically in the formats specified in the quotation (typically PDF reports and/or spreadsheet or GIS data files).
6.3. The Client shall inspect the Deliverables promptly upon receipt and notify IncomeStat Analytics in writing of any alleged defect or non-conformity within 10 business days of delivery. If no notification is received within this period, the Deliverables are deemed accepted.
6.4. Where a Deliverable contains a genuine defect attributable to IncomeStat Analytics, IncomeStat Analytics shall, at its option, correct the defect or redeliver the affected Deliverable at no additional charge. This constitutes the Client's sole and exclusive remedy for defective Deliverables.
7. Licence and permitted use of deliverables
7.1. Upon full payment, IncomeStat Analytics grants the Client a non-exclusive, non-transferable, worldwide licence to use the Deliverables for the Client's internal business, research, policy or planning purposes.
7.2. The Client may reproduce and cite extracts of the Deliverables in its own internal documents, grant applications, investment memoranda and academic publications, provided that IncomeStat Analytics is attributed as the source and the reference year of the data is clearly stated.
7.3. Unless otherwise agreed in writing, the Client may not:
- resell, sublicense, distribute or make the Deliverables available to third parties as a standalone data product or competing service;
- publish complete reports or datasets publicly without prior written consent;
- use the Deliverables to build a commercial database offered to third parties.
7.4. Extended licensing options, including redistribution and publication rights, are available on request and subject to separate agreement and fees.
8. Data sources and statistical accuracy
8.1. IncomeStat Analytics compiles and models income statistics using national census data, government labour statistics, tax and administrative records and proprietary modelling techniques. All source data is obtained lawfully and fully anonymised.
8.2. Where direct measurements are unavailable, figures are statistical estimates produced by modelling. All estimates are clearly labelled with their reference year and, where applicable, confidence or uncertainty information.
8.3. IncomeStat Analytics commits to professional care in producing its Deliverables, but statistical estimates are inherently subject to uncertainty and revision. IncomeStat Analytics does not warrant that estimates will match figures the Client may derive from other sources.
8.4. Deliverables are supplied for informational and analytical purposes. They do not constitute financial, investment, legal or tax advice, and should not be relied upon as the sole basis for investment, lending, pricing or regulatory decisions without independent professional advice.
9. Client data and GDPR compliance
9.1. Where the Client provides data to IncomeStat Analytics for analysis, the Client confirms that it has all necessary rights, consents and legal bases to share that data and for IncomeStat Analytics to process it for the purposes of the engagement.
9.2. Where the Client provides personal data to IncomeStat Analytics, the parties shall comply with Regulation (EU) 2016/679 (General Data Protection Regulation, "GDPR") and the Irish Data Protection Act 2018. The roles of the parties shall be determined by the nature of the engagement; in most cases, IncomeStat Analytics acts as a processor acting on the Client's documented instructions. Where required, a data processing agreement will be put in place in accordance with Article 28 GDPR.
9.3. As a general rule, IncomeStat Analytics analyses aggregated, anonymised data. Any personal data incidentally received is pseudonymised or anonymised as soon as practicable and is processed only for the purposes of delivering the Services.
9.4. IncomeStat Analytics implements appropriate technical and organisational security measures, including encryption, access controls and data minimisation, to protect data against unauthorised access, loss or disclosure.
9.5. IncomeStat Analytics retains client data and engagement records only for as long as necessary to deliver the Services, to comply with legal, accounting and tax obligations, and to resolve disputes, after which data is securely deleted or anonymised.
9.6. Individuals whose personal data is processed by IncomeStat Analytics have the right to request access to, rectification or erasure of, restriction of or objection to the processing of, and portability of their personal data, and the right to lodge a complaint with the Data Protection Commission (DPC), 21 Fitzwilliam Square South, Dublin 2, D02 RD28, Ireland. Requests may be directed to [email protected] and will be handled without undue delay and in any event within one month.
9.7. In the event of a personal data breach affecting data for which the Client is the controller, IncomeStat Analytics shall notify the Client without undue delay and provide reasonable cooperation to enable compliance with Article 33 GDPR.
10. Confidentiality
10.1. Each party shall keep confidential all non-public business, technical, financial and project information received from the other party in connection with an engagement, and shall use it only for the purposes of performing the Contract.
10.2. The obligation of confidentiality does not apply to information that is or becomes publicly available through no breach of this Section, was lawfully known to the receiving party before disclosure, is independently developed, or must be disclosed by law or by a competent authority, provided that, where lawful, the disclosing party gives prior notice to the other party.
10.3. These confidentiality obligations survive for three years after the termination or expiry of the Contract.
11. Intellectual property
11.1. All intellectual property rights in the methodologies, models, algorithms, tools, templates and know-how used or developed by IncomeStat Analytics remain the exclusive property of IncomeStat Analytics.
11.2. All intellectual property rights in pre-existing source datasets and compilations remain with IncomeStat Analytics or the relevant third-party licensors, as applicable.
11.3. The Client retains all rights in the data and materials it supplies to IncomeStat Analytics. By supplying such materials, the Client grants IncomeStat Analytics a limited, non-exclusive licence to use them solely to perform the Services.
11.4. The name "IncomeStat Analytics", the company logo and all related branding may not be used by the Client without prior written consent, save for truthful reference as the source of data as permitted by Section 7.2.
12. Warranties and disclaimers
12.1. IncomeStat Analytics warrants that it will perform the Services with reasonable skill and care and in accordance with these Terms & Conditions.
12.2. Except as expressly stated in these Terms & Conditions, all Services, Deliverables and Website content are provided "as is" and "as available", and all other warranties, conditions or terms, whether express or implied by statute, common law or otherwise, are excluded to the fullest extent permitted by law.
12.3. IncomeStat Analytics does not warrant that the Website will be uninterrupted, error-free or free from harmful components, and does not warrant that statistical estimates are complete, current or fit for any particular purpose beyond the purposes agreed in the quotation.
13. Limitation of liability
13.1. Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded or limited.
13.2. Subject to Section 13.1, IncomeStat Analytics shall not be liable to the Client, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, loss of revenue, loss of business or contracts, loss of anticipated savings, loss of goodwill, or any indirect, special or consequential loss or damage arising out of or in connection with the Services, the Deliverables or the Website.
13.3. Subject to Sections 13.1 and 13.2, the total aggregate liability of IncomeStat Analytics in respect of all claims arising under or in connection with a Contract shall not exceed the total fees paid or payable by the Client under that Contract in the 12 months preceding the event giving rise to the claim.
13.4. The Client is responsible for evaluating the suitability of the Deliverables for its own purposes. IncomeStat Analytics shall not be liable for decisions made by the Client on the basis of the Deliverables.
14. Termination
14.1. Either party may terminate a Contract by written notice if the other party commits a material breach of these Terms & Conditions and, where the breach is capable of remedy, fails to remedy it within 30 days of written notice of the breach.
14.2. IncomeStat Analytics may suspend or terminate a Contract with immediate effect if the Client fails to pay any sum due when it falls due, becomes insolvent, enters liquidation or administration, or ceases business.
14.3. On termination for any reason, the Client shall pay for all Services performed and expenses properly incurred up to the date of termination. Amounts already paid in respect of undelivered Services may, at IncomeStat Analytics' discretion, be refunded pro rata or credited.
14.4. Sections 7, 9, 10, 11, 12, 13 and 16 survive termination of the Contract.
15. Use of this website
15.1. The content of the Website is provided for general information about IncomeStat Analytics and its Services. It does not constitute an offer to contract.
15.2. You agree to use the Website lawfully and not to attempt to gain unauthorised access to the Website, its servers, or any connected systems, or to interfere with its operation.
15.3. Use of the Website involves the placement of cookies as described in our Cookies Policy and, where applicable, the processing of personal data as described in our Privacy Policy.
16. Governing law and jurisdiction
16.1. These Terms & Conditions and any Contract shall be governed by and construed in accordance with the laws of Ireland.
16.2. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Ireland.
16.3. If any provision of these Terms & Conditions is held invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
16.4. IncomeStat Analytics may update these Terms & Conditions from time to time. The version in force at the time an order is confirmed applies to that Contract. Continued use of the Website after publication of updated terms constitutes acceptance of the updated terms.
